In these Terms, the following words carry the meanings assigned below:
"Program" refers to the Capital Circle 12-week B2B Sales Accelerator cohort, including all sessions, workshops, sandbox activities, mentorship interactions, and associated materials.
"Participant" refers to any individual who has completed enrollment and whose payment has been received and confirmed by Vixel Business Solutions LLP.
"Cohort" refers to the specific batch of Participants enrolled in the same Program cycle.
"Live Deal Sandbox" refers to the structured, real-world sales engagement environment facilitated within the Program where Participants work on active client opportunities.
"Mentor" refers to any sales professional, executive, or subject matter expert assigned to or engaging with Participants as part of the Program.
"Company Materials" refers to all curriculum, frameworks, recordings, templates, case studies, and other content created or licensed by Vixel Business Solutions LLP for use in the Program.
Enrollment in the Program is open to individuals who meet the eligibility criteria communicated during the application process. Vixel Business Solutions LLP reserves the right to accept or decline any application at its sole discretion without obligation to provide a reason.
Enrollment is confirmed only upon receipt of full payment (or first installment, where a payment plan is applicable) and a written confirmation issued by Vixel Business Solutions LLP. Submitting an application or completing a payment without receiving written confirmation does not constitute enrollment.
Participants must be at least 18 years of age. By enrolling, you represent that all information provided during the application is accurate and complete. Providing false information may result in immediate termination of enrollment without refund.
Program fees are communicated at the time of enrollment and are denominated in Indian Rupees (INR) unless otherwise specified in writing. All fees are inclusive of applicable GST unless stated otherwise on the invoice.
Payment must be completed via the methods specified by Vixel Business Solutions LLP. Where a payment plan is offered, all installments remain due regardless of attendance or participation levels. Failure to complete scheduled installments constitutes a breach of these Terms and may result in suspension of access to Program resources.
Late payment
Installments not received within 5 business days of the due date may attract a late fee of 2% per month on the outstanding amount. Access to Program sessions may be suspended until the outstanding balance is cleared.
Vixel Business Solutions LLP will issue a GST-compliant invoice upon receipt of payment. It is the Participant's responsibility to provide accurate GST details if required for their records.
No refund policy. All Program fees are non-refundable once enrollment is confirmed. This applies regardless of the reason for non-participation, including but not limited to personal circumstances, scheduling conflicts, job changes, relocation, or change of intent.
No cancellations. Once enrolled, your seat in the Cohort is confirmed and non-cancellable. Resources — including Live Deal Sandbox slots, Mentor assignments, and client-facing opportunities — are allocated upon enrollment and cannot be reallocated at short notice.
Cohort transfer — one-time exception
If you are unable to attend the Cohort you enrolled in, you may submit a written request for a one-time transfer to the next available Cohort. Transfer requests must be received at least 7 calendar days before the Cohort start date. Transfers are subject to availability and granted solely at the discretion of Vixel Business Solutions LLP. A transfer does not constitute a refund, and no cash equivalent will be offered.

Program cancellation by the Company. In the unlikely event that Vixel Business Solutions LLP cancels a Cohort entirely, Participants will be offered a transfer to the next available Cohort or a full credit toward a future program. No cash refunds will be issued in this scenario.
Consumer Protection Act 2019 — note
Nothing in this clause is intended to override rights available to Participants under the Consumer Protection Act, 2019 (India) or any other applicable statute that cannot be contractually waived. Participants with statutory grievances may contact our Grievance Officer at the details provided in Clause 17.
The Program is delivered over 12 weeks in a hybrid format combining live online sessions, in-person workshops (where applicable), and asynchronous learning components. Session schedules, formats, and technical requirements will be communicated to confirmed Participants within 48 hours of enrollment.
Vixel Business Solutions LLP reserves the right to modify session dates, times, delivery formats, guest speakers, Mentor assignments, and curriculum content as necessary to maintain program quality and respond to operational requirements. Material changes will be communicated to Participants with reasonable advance notice.
Participants are responsible for ensuring they have the necessary technology, internet connectivity, and device setup to participate in sessions. Vixel Business Solutions LLP will not offer refunds, credits, or session makeups for technical difficulties arising from a Participant's own access infrastructure.
Minimum participation. Participants are expected to attend at least 80% of scheduled live sessions. Participants who fall below this threshold without prior written notice may be deemed inactive and may lose access to Mentor support and Live Deal Sandbox opportunities. Minimum participation is a prerequisite for placement support under Clause 7.
The Live Deal Sandbox is a structured environment in which Participants engage in real or simulated B2B sales scenarios, including prospect research, outreach, discovery, and deal progression activities. Participation in the Sandbox is a core component of the Program.
Nature of sandbox activities. Sandbox engagements may involve real companies and real decision-makers facilitated by or through Vixel Business Solutions LLP. Participants must conduct all Sandbox activities with the same professionalism expected in a live client engagement. Misrepresentation, dishonesty, or unprofessional conduct within the Sandbox constitutes a breach of these Terms.
No guarantee of outcomes. The Live Deal Sandbox is an educational environment. Vixel Business Solutions LLP does not guarantee specific sales outcomes, deal closures, or commissions arising from Sandbox activities. Results will vary by Participant.
Confidentiality in the sandbox
All company names, contact details, deal information, and business intelligence encountered within the Sandbox are strictly confidential. Participants may not share, reproduce, or use such information outside the Program context. This obligation survives termination of enrollment. See also Clause 11.
Enrolled Participants will be assigned access to Mentors — experienced sales professionals and executives — throughout the Program duration. Mentor interactions may take the form of group sessions, live feedback on deal activities, office hours, or direct messaging within Program platforms.
Mentor availability. Mentors contribute to the Program on a voluntary or advisory basis. Vixel Business Solutions LLP does not guarantee specific response times, session frequency, or continued availability of any named Mentor. If a Mentor becomes unavailable, the Company will make reasonable efforts to provide a suitable replacement.
Conditions for placement support. Participants who complete the Program with a minimum 80% attendance record, submit all required deliverables, and actively participate in Live Deal Sandbox activities are eligible for job placement assistance. Placement support includes referrals, introductions, and interview preparation — it does not constitute a guarantee of employment. Final hiring decisions rest with prospective employers and are outside the control of Vixel Business Solutions LLP.
Conduct with mentors
Participants may not solicit Mentors for private consulting, employment, or business opportunities outside the Program without prior written consent from Vixel Business Solutions LLP. Breach of this clause may result in immediate removal from the Program without refund.
Participants may be invited to attend Capital Circle executive networking events, roundtables, or curated gatherings as part of or ancillary to the Program. Event participation is subject to the specific event terms communicated at the time of invitation.
Event modifications. Vixel Business Solutions LLP reserves the right to modify, postpone, or cancel any event. In the case of cancellation by the Company, Participants will be notified and offered access to the next available event where feasible. No refunds or credits will be issued for event modifications.
Conduct at events. Participants represent the Capital Circle community at all events. Conduct that is disrespectful, dishonest, or that brings Capital Circle or Vixel Business Solutions LLP into disrepute may result in removal from the event and from the Program without refund. Participants must not use event access to solicit other Participants, speakers, or guests for private commercial purposes without prior approval.
Any recordings, photographs, or content captured at events may be used by Vixel Business Solutions LLP for marketing and promotional purposes. By attending, Participants consent to such use unless they notify the Company in writing prior to the event.
Participants are expected to engage with the Program in good faith, with professionalism and respect toward fellow Participants, Mentors, Company staff, and any third parties encountered through Program activities.
The following are strictly prohibited and constitute grounds for immediate removal without refund:
Vixel Business Solutions LLP reserves the right to determine, at its sole discretion, whether conduct constitutes a breach of these Terms.
All Company Materials — including but not limited to curriculum frameworks, sales playbooks, session recordings, templates, slide decks, worksheets, case studies, and brand assets — are the exclusive intellectual property of Vixel Business Solutions LLP and are protected under applicable Indian copyright and IP law.
Participants are granted a limited, non-exclusive, non-transferable licence to access and use Company Materials solely for their personal participation in the Program. This licence does not permit reproduction, redistribution, resale, sublicensing, or use of Company Materials for commercial purposes.
Participant-generated work. Any sales frameworks, presentations, or materials developed by a Participant independently during the Program remain the intellectual property of the Participant. However, any work developed using Company templates, tools, or data as a base may carry shared attribution obligations — the Company will not assert ownership over genuinely independent Participant work.
Upon termination or expiry of enrollment, the Participant's licence to access Company Materials ceases immediately. Continued possession or use of Company Materials following termination constitutes infringement.
During the Program, Participants may be exposed to confidential information belonging to Vixel Business Solutions LLP, its Mentors, partner companies, Sandbox clients, and fellow Participants. This includes but is not limited to business strategies, client names and contact details, deal terms, pricing, proprietary methodologies, and internal processes.
Participants agree to hold all such information in strict confidence and not to disclose, reproduce, or use it for any purpose outside the Program. This obligation applies during and after participation in the Program, with no time limit.
Participants must not discuss, post, or publish information about Sandbox companies, Mentor disclosures, or fellow Participants' business dealings on any public platform, social media, or external forum without the express written consent of the relevant party.
Vixel Business Solutions LLP collects and processes personal data provided during enrollment, including name, contact information, professional history, and payment details, for the purposes of administering the Program, communicating with Participants, and fulfilling legal obligations.
Personal data will not be sold to third parties. Data may be shared with Mentors, event partners, and platform providers strictly for Program delivery purposes. All data processing is conducted in accordance with applicable Indian data protection laws, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
Participants may request access to, correction of, or deletion of their personal data by writing to the Grievance Officer at the contact details in Clause 17. Retention of certain data may be required for legal and financial compliance purposes.
By enrolling, Participants consent to receiving Program-related communications via email, WhatsApp, and other channels used by Vixel Business Solutions LLP. Participants may opt out of non-essential communications at any time.
To the maximum extent permitted by applicable law, Vixel Business Solutions LLP's total liability to any Participant — whether in contract, tort, or otherwise — shall not exceed the total Program fees paid by that Participant.
Vixel Business Solutions LLP shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of income, loss of business opportunity, or reputational damage, arising from or in connection with the Program.
No employment guarantee. Participation in the Program and eligibility for placement support does not constitute a guarantee of employment, income level, or career outcome. Vixel Business Solutions LLP makes no representations regarding specific earnings or outcomes achievable through participation.
Force majeure. Vixel Business Solutions LLP shall not be in breach of these Terms for any delay or failure to perform obligations due to circumstances beyond its reasonable control, including acts of God, pandemic, government regulation, internet outages, or civil unrest. In such events, the Company will make reasonable efforts to reschedule or adapt Program delivery.
Termination by the Company. Vixel Business Solutions LLP reserves the right to terminate a Participant's enrollment at any time for material breach of these Terms, including but not limited to conduct violations under Clause 9, confidentiality breaches under Clause 11, non-payment under Clause 3, or any action that jeopardises the integrity of the Program. Termination for breach will not entitle the Participant to any refund.
Termination by the Participant. A Participant may withdraw from the Program at any time by providing written notice. Withdrawal does not entitle the Participant to a refund of any fees paid, nor does it relieve the Participant of any outstanding payment obligations. Confidentiality and IP obligations under Clauses 10 and 11 survive withdrawal.
Upon termination or withdrawal, the Participant's access to all Program platforms, materials, Mentor interactions, Sandbox activities, and events will be revoked immediately.
Vixel Business Solutions LLP reserves the right to update or amend these Terms at any time. Amendments will be communicated to enrolled Participants via email at least 14 days before taking effect. Continued participation in the Program after the effective date of an amendment constitutes acceptance of the revised Terms.
For prospective Participants, the version of these Terms published at the time of enrollment applies. It is the Participant's responsibility to review these Terms before completing enrollment.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
Dispute resolution process. Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution by written notice, allowing 30 days for response and negotiation. If the dispute is not resolved within 30 days of such notice, either party may proceed with formal legal proceedings.
Grievance redressal. In accordance with the Consumer Protection Act, 2019, Participants may raise a formal grievance with Vixel Business Solutions LLP's designated Grievance Officer. Grievances will be acknowledged within 48 hours and resolved within 30 days where possible.

By completing enrollment and submitting payment for the Capital Circle Program, you confirm that you are at least 18 years of age, that you have read and understood these Terms in their entirety, and that you agree to be legally bound by them. These Terms, together with any enrollment confirmation issued by Vixel Business Solutions LLP, constitute the entire agreement between you and the Company in respect of your participation in the Program.
